Questions

Company Secretarial Services — frequently asked

Can we change company secretary during the year?

A change of company secretary generally involves the appropriate appointment and cessation documentation, handover of company records and applicable notifications or lodgements. If the outgoing secretary is the company's only company secretary, replacement must respect the applicable statutory timing. Any proposed FSV appointment is subject to review of the company and handover circumstances.

When is our annual return due?

Under the current Malaysian company framework, a local company's annual return is generally lodged within 30 days after the anniversary of incorporation. The annual return is separate from financial-statement filing, which follows its own requirements and timeframe.

Do you provide a registered-office address?

A Malaysian company must maintain a registered office in Malaysia, which is not necessarily the same as its ordinary business premises. Availability and the exact scope of any FSV registered-office address and mail-handling support should be confirmed in the agreed scope.

What company changes should we tell our company secretary about?

Tell the company secretary about relevant changes involving directors, shareholders or shareholdings, share capital, the registered office or other company particulars, business details where relevant, beneficial-ownership information and other material corporate actions. The documentation or lodgement depends on the type of change and the company's circumstances.

What is the difference between Company Incorporation and Company Secretarial Services?

Company Incorporation covers initial formation and agreed setup steps. Company Secretarial Services cover ongoing company maintenance, statutory records, filings, resolutions and corporate changes after incorporation.
